1. Acceptance of Terms
By accessing or using The Tree Capital platform ('the Service'), you agree to be bound by these Terms and Conditions. If you do not agree to these terms, do not use the Service.
2. Description of Service
The Tree Capital provides a cloud-based business management platform for small and medium-sized enterprises, including features for contract management, asset tracking, accounting, and VAT Making Tax Digital (MTD) submissions to HMRC.
3. Acceptable Use
You agree to use the Service only for lawful business purposes. You must not:
- Submit false, misleading, or fraudulent data to HMRC or any other party via the platform.
- Attempt to gain unauthorised access to other users' data or accounts.
- Use the Service to conduct any activity that violates UK law.
- Reverse-engineer, decompile, or disassemble any part of the Service.
- Use automated scripts to access the Service in a manner that disrupts its operation.
4. VAT Submission Responsibility
The Tree Capital facilitates VAT return submissions to HMRC via the Making Tax Digital API on your behalf. You are solely responsible for:
- The accuracy and completeness of the VAT figures submitted.
- Maintaining accurate underlying records to support your VAT returns.
- Any penalties, interest, or charges arising from incorrect, late, or missing submissions.
The Tree Capital is a software tool and does not provide tax advice. Consult a qualified tax professional for guidance on your VAT obligations.
5. HMRC OAuth Authorisation
To enable Making Tax Digital submissions, you will authorise The Tree Capital to interact with HMRC APIs on your behalf via the OAuth 2.0 protocol. This authorisation can be revoked at any time via your HMRC online account. The Tree Capital will never request or store your HMRC Government Gateway credentials.
6. Account Security
You are responsible for maintaining the confidentiality of your login credentials. You must notify us immediately at security@thetreecapital.com if you suspect any unauthorised access to your account.
7. Intellectual Property
All software, content, and materials forming the Service are the intellectual property of The Tree Capital or its licensors. Nothing in these Terms grants you any rights in that intellectual property beyond the limited right to use the Service as described herein.
8. Limitation of Liability
To the maximum extent permitted by applicable law, The Tree Capital shall not be liable for any indirect, incidental, or consequential loss arising from your use of the Service, including but not limited to losses arising from VAT submission errors, system unavailability, or data loss.
Our total aggregate liability to you shall not exceed the amount of fees paid by you for the Service in the 12 months preceding the event giving rise to the claim.
9. Data Protection
Your use of the Service is governed by our Privacy Policy, which forms part of these Terms and Conditions.
10. Changes to the Service
We reserve the right to modify or discontinue the Service (or any part of it) at any time. We will provide reasonable notice of material changes where possible.
11. Governing Law
These Terms are governed by and construed in accordance with the laws of England and Wales. Any disputes shall be subject to the exclusive jurisdiction of the courts of England and Wales.
